1. Agreement to Terms
These Terms of Service (“Terms”) govern your access to and use of the Wav Linq platform, website, applications, API, and related services (“Services”) operated by Wav Linq (“Wav Linq,” “we,” “us,” or “our”). By creating an account, using the Services, or otherwise indicating acceptance, you agree to be bound by these Terms. If you do not agree, do not use the Services.
2. Description of Services
Wav Linq provides audio watermarking and attribution technology that allows you to:
- Embed watermarks and metadata (e.g.Linq ID, signatures, attribution data) into audio files.
- Extract & Detect watermarks and metadata from audio to verify ownership and attribution.
- Manage files, attributions, and creator workflows through the web application and related tools.
Services may be offered via the web app, API, integrations, or other channels we provide. We may update, suspend, or discontinue features with reasonable notice where practicable.
3. Eligibility and Accounts
You must be at least 18 years old (or the age of majority in your jurisdiction) and able to form a binding contract to use the Services. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must notify us promptly of any unauthorized use.
4. Your Content and Rights
Your content. You retain ownership of the audio files and other content you upload or submit (“Your Content”). You grant Wav Linq a limited, non-exclusive, royalty-free license to use, process, store, and transmit Your Content solely to provide, improve, and operate the Services (e.g., embedding or extracting watermarks, storing files as described in our product and privacy policies).
Representations. You represent and warrant that you have all rights necessary to use and submit Your Content and that Your Content does not violate any law or third-party rights. You are solely responsible for Your Content.
5. Acceptable Use
You agree not to use the Services to:
- Violate any applicable law, regulation, or third-party rights.
- Upload or process content you do not have the right to use (e.g., pirated or infringing material).
- Circumvent or attempt to circumvent security, access controls, or usage limits.
- Reverse engineer, decompile, or extract source code of our systems except as permitted by law.
- Use the Services to build a competing product or to resell the Services without our written permission.
- Transmit malware, spam, or other harmful or abusive content.
We may suspend or terminate access for conduct we reasonably believe violates these Terms or is harmful to others or the Services.
6. Subscriptions, Plans, and Payment
Some features may require a subscription or paid plan. Fees, billing cycles, and payment terms will be presented at signup or purchase. You agree to pay all applicable fees. We may change pricing with advance notice; continued use after changes constitutes acceptance. Refunds are as stated at purchase or in our refund policy.
7. API and Third-Party Use
Use of our API or developer tools is subject to these Terms and any additional API or developer terms we provide. You must not exceed rate limits or use the API in a way that degrades the Services. We may revoke API access for non-compliance.
8. Intellectual Property
Wav Linq and its licensors own all right, title, and interest in the Services, including software, design, branding, and documentation. These Terms do not grant you any ownership in our technology or branding. Feedback you provide may be used by us without obligation to you.
9. Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT WATERMARKING OR EXTRACTION WILL BE ERROR-FREE, THAT WATERMARKS WILL SURVIVE ALL TRANSFORMS OR PIRACY, OR THAT THE SERVICES WILL BE UNINTERRUPTED OR SECURE.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WAV LINQ AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM (OR ONE HUNDRED U.S. DOLLARS IF GREATER).
11. Indemnification
You agree to indemnify and hold harmless Wav Linq and its affiliates and their respective officers, directors, employees, and agents from and against any claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to Your Content, your use of the Services, or your violation of these Terms or any law or third-party rights.
12. Privacy
Our collection and use of personal information is described in our Privacy Policy. By using the Services, you consent to that processing.
13. Termination
You may stop using the Services at any time. We may suspend or terminate your account or access if you breach these Terms or for other operational or legal reasons. Upon termination, your right to use the Services ceases. Provisions that by their nature should survive (e.g., disclaimers, limitation of liability, indemnification) will survive.
14. Disputes and Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to conflict of laws principles. Any dispute arising out of or related to these Terms or the Services shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction there.
15. Arbitration
READ THIS SECTION CAREFULLY BECAUSE IT REQUIRES THE PARTIES TO ARBITRATE THEIR DISPUTES AND LIMITS THE MANNER IN WHICH YOU CAN SEEK RELIEF FROM Wav Linq. For any dispute with Wav Linq, you agree to first contact us at info@wavlinq.com and attempt to resolve the dispute with us informally. In the unlikely event that Wav Linq has not been able to resolve a dispute it has with you after thirty (30) days, we each agree to resolve any controversy or claim arising out of or relating to this contract, or the breach thereof, by binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules and judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof. The place of arbitration shall be Delaware. Except as may be required by law, neither a party nor an arbitrator may disclose the existence, content, or results of any arbitration hereunder without the prior written consent of Wav Linq and you. Nothing in this Section shall be deemed as preventing Wav Linq from seeking injunctive or other equitable relief from the courts as necessary to prevent the actual or threatened infringement, misappropriation, or violation of our data security, intellectual property rights or other proprietary rights. WITH RESPECT TO ALL PERSONS AND ENTITIES, REGARDLESS OF WHETHER THEY HAVE OBTAINED OR USED THE SERVICE FOR PERSONAL, COMMERCIAL OR OTHER PURPOSES, ALL CLAIMS MUST BE BROUGHT IN THE PARTIES' INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION, COLLECTIVE ACTION, PRIVATE ATTORNEY GENERAL ACTION OR OTHER REPRESENTATIVE PROCEEDING. THIS WAIVER APPLIES TO CLASS ARBITRATION, AND, UNLESS WE AGREE OTHERWISE, THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS. YOU AGREE THAT, BY ENTERING INTO THIS AGREEMENT, YOU AND WAV LINQ ARE EACH WAIVING THE RIGHT TO A TRIAL BY JURY OR TO PARTICIPATE IN A CLASS ACTION, COLLECTIVE ACTION, PRIVATE ATTORNEY GENERAL ACTION, OR OTHER REPRESENTATIVE PROCEEDING OF ANY KIND.
16. Changes
We may update these Terms from time to time. We will post the updated Terms on this page and update the “Last updated” date. Material changes may be communicated via email or in-product notice. Continued use of the Services after the effective date of changes constitutes acceptance. If you do not agree, you must stop using the Services.
17. General
These Terms constitute the entire agreement between you and Wav Linq regarding the Services. Our failure to enforce any right or provision does not waive that right or provision. If any provision is held invalid, the remaining provisions remain in effect. You may not assign these Terms without our consent; we may assign them without restriction.
